At M&A Solutions Vietnam, information security is our top priority. We protect our clients through a rigorous personnel control process:

  • Establish a robust legal framework from the outset: Sign strict non-disclosure agreements (NDAs) with all parties before disclosing any information.
  • Direct control: Applying the “Only Know When Needed” principle, only authorized senior personnel have access to files under our direct supervision.
  • Control the level and timing of information sharing: Apply the principle of “information sharing in stages.” Only truly potential and screened partners should have access to the most sensitive data. Avoid providing all data at once to minimize the risk of information leakage.
  • Centralized and controlled data management: Utilize Virtual Data Rooms (VDRs) to store and share documents. Clearly define access permissions for each user and document group, and track access, download, and editing history to control risks.

An average M&A transaction typically takes 6 to 9 months, depending on size and complexity. The roadmap at M&A Solutions is standardized across three phases to ensure transparency, risk control, and optimal results for clients:

  1. Document and File Preparation (5 weeks): This is considered the “foundation-building” step, determining 70% of the deal’s success. During this stage, we focus on transparency to optimize business value through: signing confidentiality agreements; conducting in-depth due diligence and accurate market valuation; finalizing the offering documents (Teaser, CIM); and screening a list of target investors best suited to the business owner’s vision.
  2. Marketing and Market Access (16 weeks): The central goal is to find the right partner and create competition to achieve the optimal price. The process is meticulously implemented, starting with discreet contact via teaser; securing a Non-Disclosure Agreement (NDA) before sharing detailed company information (CIM); organizing Management Presentations to connect business owners and investors directly; and finally, collecting non-binding offers to filter out the most serious and promising potential partners and activate the Data Room.
  3. Negotiation and Closing the Deal (14 weeks): This is the most stressful and decisive phase, requiring patience and sharp negotiation skills. The process focuses on helping investors conduct a detailed due diligence on all aspects; receiving binding offers with a final figure; then proceeding to negotiate the terms of the sales contract (SPA) and agreeing on post-transaction conditions to officially sign and successfully complete the transaction.
